§5AI-Specific Terms, Disclaimers, and Limitations

CRITICAL DISCLAIMER

MUKODI IS NOT A REGISTERED INVESTMENT ADVISER, FINANCIAL PLANNER, CREDIT COUNSELOR, TAX CONSULTANT, OR LICENSED FINANCIAL PROFESSIONAL UNDER ANY APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO THE SECURITIES AND EXCHANGE BOARD OF INDIA ACT, 1992, THE INSURANCE REGULATORY AND DEVELOPMENT AUTHORITY OF INDIA ACT, 1999, OR THE CHARTERED ACCOUNTANTS ACT, 1949. THE AI OUTPUTS PROVIDED THROUGH THE SERVICES ARE GENERATED BY MACHINE LEARNING MODELS AND DO NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TAX ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. YOU MUST CONSULT QUALIFIED, LICENSED PROFESSIONALS BEFORE MAKING ANY FINANCIAL DECISIONS.

5.1 Nature of AI Outputs

You expressly acknowledge and agree that: (a) all AI Outputs are generated by probabilistic machine learning models that may produce errors, inaccuracies, inconsistencies, or hallucinations; (b) AI Outputs are provided on an "as is" and "as available" basis without any warranty of accuracy, completeness, reliability, fitness for a particular purpose, or non-infringement; (c) the Company does not guarantee that AI Outputs will be error-free, up-to-date, or suitable for your specific financial situation; (d) AI models may exhibit biases inherent in their training data, which may affect the nature and quality of AI Outputs; and (e) AI Outputs may change over time as models are updated, retrained, or recalibrated.

5.2 Training and Updates

The Company reserves the right to update, modify, retrain, fine-tune, or replace any AI models at any time without prior notice. Such changes may alter the behavior, accuracy, or nature of AI Outputs. By using the Services, you consent to the use of anonymized, aggregated, and de-identified usage patterns and feedback to improve the AI Features, subject to our Privacy Policy and applicable data protection laws, including the Digital Personal Data Protection Act, 2023.

5.3 Prohibition on High-Risk Reliance

You shall not use AI Outputs as the sole basis for any high-risk decision, including but not limited to: (a) making investment decisions involving a substantial portion of your net worth; (b) making decisions that may have legal, regulatory, or compliance implications; (c) automated decision-making that produces legal effects concerning you or similarly significantly affects you; or (d) any purpose where inaccurate AI Outputs could result in significant financial loss, physical harm, or legal liability. Users acknowledge that AI-generated outputs are decision-support tools and should be used in conjunction with professional judgment. For B2B partners using credit risk scoring APIs, liability is governed by the applicable B2B service agreement.

5.4 AI Liability Cap

The liability limitations in this section are subject to applicable Indian law, including the Consumer Protection Act, 2019 and relevant RBI/SEBI regulations. B2B partners operating under separate commercial agreements are governed by the liability terms in those agreements, not this section. For consumer users, the Company's liability for claims arising from or related to AI Outputs shall be determined in accordance with applicable law. This provision shall survive termination of this Agreement.

§6Intellectual Property Rights

6.1 Company's Intellectual Property

The Services, including all software, algorithms, AI models, training data, user interfaces, designs, trademarks, logos (including the Mukodi name and logo), and all other Intellectual Property embodied in or related to the Services, are and shall remain the exclusive property of the Company and its licensors. Nothing in these Terms grants you any right, title, or interest in the Company's Intellectual Property, except for the limited license expressly granted in Section 4.1. All rights not expressly granted herein are reserved by the Company.

6.2 User Content

You retain ownership of any content you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, improving, and promoting the Services. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe upon any third party's rights.

6.3 AI Output Ownership

AI Outputs generated specifically for you based on your inputs and data are licensed to you for personal, non-commercial use, subject to these Terms. You acknowledge that: (a) AI Outputs may not be protectable under copyright or other intellectual property laws; (b) identical or substantially similar AI Outputs may be generated for other users; (c) the Company retains all rights in the underlying models, algorithms, and methodologies used to generate AI Outputs; and (d) the Company may use anonymized and aggregated AI Outputs for research, improvement, and development purposes.

6.4 Proprietary AI Model; No Grant of Model Rights

The artificial intelligence model operated by the Company under the name "FinAi" — including the Company's fine-tuned model weights, training data, prompt and orchestration logic, agent architecture, evaluation and audit systems, and all derivative improvements thereto (collectively, the "Model") — is the proprietary and confidential property and trade secret of the Company. The Model is built upon third-party foundation models which the Company uses under their respective open-licensed terms (Apache 2.0 / MIT); such foundation models remain the property of their respective licensors, and nothing herein shall be construed as the Company claiming ownership of any such third-party foundation model. No provision of these Terms, the Privacy Policy, any order form, or any Master Services Agreement grants You, any User, or any partner any ownership of, licence to, or right to access, copy, host, self-host, fork, mirror, fine-tune, distil, reverse-engineer, or independently deploy the Model, its weights, or any component thereof. The Services are made available solely as a hosted service operated by the Company. All rights in the Model not expressly granted are reserved by the Company. This Section survives termination.

The proprietary and intellectual-property rights asserted in this Section extend solely to the Model and the Mukodi platform. They do NOT extend to, and create no ownership interest in, (a) any personal data of a Data Principal, (b) User Content as defined herein, or (c) any memory, belief, correction, or other record derived from a Data Principal's inputs. As Data Fiduciary, the Company processes such personal data under the Digital Personal Data Protection Act, 2023, and the Data Principal retains all rights of access, correction, erasure, portability, grievance redressal, and nomination in respect of it.

Nothing in this Section limits, waives, or overrides any right conferred on a Data Principal by the Digital Personal Data Protection Act, 2023, or any other mandatory Indian law. Any conflict shall be resolved in favour of the Data Principal's statutory rights.

6.5 Existing Agreements; Transition

Where an executed Master Services Agreement, order form, or statement of work in effect as of [EFFECTIVE DATE] expressly grants a named partner a self-hosting, on-premise, or independent-deployment right with respect to any model, the express terms of that executed agreement shall prevail for that partner for its stated term, in accordance with the MSA-prevails order-of-precedence rule stated in the B2B Partner Notice above. This Section governs all engagements not so expressly covered and applies prospectively from [EFFECTIVE DATE].

§7Payment, Fees, and Refund Policy
